Welcome to ThroughLine. These Terms of Service ("Terms") govern your access to and use of the ThroughLine platform, website, and services (collectively, the "Service") operated by TerraSight Corporation (www.terrasightcorp.com) ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

  • "Account" means a unique account created for you to access our Service.
  • "Organization" means the company, entity, or group that has subscribed to the Service.
  • "User" means any individual who accesses or uses the Service through an Organization's Account.
  • "Content" means any data, text, information, or materials submitted, posted, or displayed through the Service.
  • "Subscription" means the paid plan selected by the Organization to access the Service.

2. Account Registration

To use the Service, you must create an Account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your Account information.
  • Maintain the security of your password and accept all risks of unauthorized access.
  • Notify us immediately if you discover or suspect any security breaches related to the Service.

You are responsible for all activities that occur under your Account. We reserve the right to suspend or terminate Accounts that violate these Terms.

3. Subscriptions and Billing

3.1 Free Tier

We offer a free tier for teams of up to 10 users. The free tier includes core features with certain limitations as described on our pricing page.

3.2 Paid Plans

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. You agree to pay all fees associated with your chosen Subscription plan.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

3.4 Cancellation

You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

3.5 Price Changes

We reserve the right to adjust pricing with 30 days' notice. Price changes will apply at the start of the next billing period following notice.

4. Use of the Service

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for organizational strategy execution, priority management, and team alignment.

4.2 Prohibited Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
  • Transmit any viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to store or transmit content that is unlawful, harmful, or infringes on third-party rights.
  • Resell, sublicense, or provide the Service to third parties without our prior written consent.
  • Use automated means to access the Service without our prior written consent.

5. Content and Data

5.1 Your Content

You retain all rights to Content you submit through the Service. By submitting Content, you grant us a limited license to use, store, and process that Content solely for the purpose of providing the Service to you.

5.2 Data Ownership

Your Organization owns all data entered into the Service. We do not claim ownership of your organizational data, strategic plans, priorities, or any other Content you submit.

5.3 Data Processing

We process your data in accordance with our Privacy Policy. By using the Service, you consent to such processing.

5.4 Data Export

You may export your data at any time through the Service's built-in export features. Upon termination of your Subscription, we will make your data available for export for a period of 30 days.

6. AI Features

The Service includes AI-powered features including the Strategy Architect and other intelligent assistants. You acknowledge that:

  • AI-generated suggestions are advisory in nature and should be reviewed by humans before implementation.
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content.
  • Your data may be processed by AI models to provide personalized suggestions, but is not used to train external AI models.
  • You are responsible for decisions made based on AI-generated recommendations.

7. Intellectual Property

The Service, including its original content (excluding Content provided by users), features, and functionality, is and will remain the exclusive property of TerraSight Corporation and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TerraSight Corporation.

8. Third-Party Services

The Service may contain links to or integrations with third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. You acknowledge and agree that we shall not be liable for any damage or loss caused by the use of any such third-party services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TerraSight Corporation, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify and hold harmless TerraSight Corporation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and TerraSight Corporation regarding the use of the Service, superseding any prior agreements.
